Terms of service

Effective 4 October 2026

These terms are a contract between Cloud Wise Consulting LLC and the business that uses Ingot. Please read them. Sections 13 to 15 limit what each side owes the other.

1. Who we are

Ingot is a service of Cloud Wise Consulting LLC, a Wyoming limited liability company at 1021 E Lincolnway, Suite #6259, Cheyenne, WY 82001, USA ("Ingot", "we", "us"). "You" means the business that signs up or pays for Ingot, and "the service" means Ingot's website, console, agents and Local Runner.

You accept these terms when you subscribe, including on a checkout page that links to them, or when you use the service. The person who accepts them confirms that they are at least 18 and may bind the business. Ingot is for businesses only. It is not offered to consumers.

2. The service

Ingot runs AI agents that look after the sites, cloud projects and repositories you connect. Watch reads them and reports problems. Tickets records each problem: inside Ingot on Watch, and in GitHub Issues or Jira where your plan includes them. On plans that include them, Build writes a fix in a branch and opens a pull request, Review rates the change by risk, and Ship takes the fix to production. A fix rated low risk may merge automatically, through Auto-fix or a merge rule you set. If you turn on Auto-deploy, Ship deploys each merged fix and stays with it until it is live; otherwise your own pipeline deploys it and Ship follows that deploy (section 6). After the deploy, Watch checks production again and closes the ticket only when the problem is resolved. Each plan's parts and limits are on the pricing page.

After you subscribe, we write to you and set up your workspace with you. Access is not instant, and we promise no start time.

We may improve and change the service. We will not remove a main part of your plan during a period you have paid for.

Managed and Dedicated plans also need a written order. Where an order and these terms differ, the order wins.

3. Accounts and workspaces

A workspace is one company the agents look after. It holds that company's sites, cloud access, repositories, keys and settings. You must give true details, keep sign-in details safe and tell us at once if you think someone has misused your account. You may invite other people. You are responsible for what they do in your workspaces.

On the Agency plan, you are our customer for every client workspace. You may give your clients viewer logins and charge them for your own service. You must have each client's permission to connect their systems, and you answer to us for their use.

4. Plans, payment and renewal

Prices are on the pricing page, in US dollars, per workspace, before tax. You pay in advance, monthly or yearly, through Stripe. We never see your full card number.

Your plan renews on its own at the end of each month or year, at the then current price, until you cancel. You can cancel at any time on your billing page. Your plan then runs to the end of the period you paid for, and is not renewed.

We do not refund part of a period, monthly or yearly, unless the law requires it. We may choose to give a refund or credit in a particular case; that does not oblige us to do it again.

Prices do not include tax. Where the law requires it, we add sales tax, VAT or a similar tax. You pay any tax that applies to your purchase, other than tax on our income.

If you upgrade to a larger plan, the change starts at once and Stripe charges the difference for the rest of the period. If you downgrade, the change starts at your next renewal. To change plan, write to contact@ingot.run.

We may change our prices. We will tell you by email at least 30 days before the change, and a new price applies only from your next renewal. If you do not accept it, cancel before then.

If a payment fails, Stripe tries again and tells you. If a payment stays unpaid for 14 days, we may pause the agents. If it stays unpaid for 30 days, we may end your plan. Discount codes apply only as their terms say.

5. Runner hours and model usage

Each plan includes a number of runner hours a month. A runner hour is an hour of agent work. Runs on a Local Runner count too. Plain checks do not count, and keep running when hours run out. When a workspace has used its hours, the agents wait until the next month. You may buy extra hours at $6 each by writing to us; we invoice them. Unused hours, from a plan or bought, do not carry over to the next month.

Your plan includes the model usage the agents need, inside its runner hours. Ingot pays the model providers and picks the model for each kind of run, and may change it. You get no access to any model through Ingot, and Ingot does not sell model access on its own. By agreement, you may use your own model API key; your provider's terms and prices then apply to that use.

6. Your responsibilities

  • Your right to connect. You may connect only sites, cloud projects, repositories, databases and accounts that you own or have the right to let us monitor and, where your plan allows, change.
  • Access you grant. You choose and grant the access the agents use. Watching needs read access only. Deploying needs deploy access, which Ingot holds only if you grant it. Grant only what the service needs. You may remove it at any time, and the agents then stop working on that system.
  • What merges. The agents propose changes as pull requests. No agent merges. You decide what merges: you merge yourself, or a rule you set merges for you. On plans that include it, Auto-fix is such a rule. It is a switch for each workspace, off until you turn it on. With it on, a fix merges when Review rates it low risk and the repository's own tests pass; anything rated higher waits for a person. We send you a message each time a fix merges this way. On plans that include them, you may also set finer merge rules. You can turn Auto-fix off and change your rules at any time. You are responsible for changes that you, your merge rules or Auto-fix merge, and for the tests they rely on.
  • What deploys. On plans that include it, Ship can deploy merged fixes through Auto-deploy, a switch for each workspace, off until you turn it on and grant deploy access. With Auto-deploy on, Ship deploys each fix that merges, whether you, a merge rule or Auto-fix merged it, without waiting for a person. With it off, your own pipeline deploys. You can turn it off and remove the access at any time. You are responsible for the deploys you let Ship make, as for merges, and for your deploy pipeline and its settings.
  • Backups and credentials. You keep your own backups of your code and data, and you manage your own credentials. Ingot is not a backup service.
  • Local Runner. If you run a Local Runner, you are responsible for the machine and the networks you let it reach.
  • Data you expose. Do not connect systems that hold health data covered by HIPAA, full payment card numbers or data about children, unless we agree in writing first. We do not sign HIPAA business associate agreements.

7. AI output can be wrong

The agents use AI models. Their findings, tickets, reviews and code can be wrong, incomplete or unsafe, even when they look sure. A finding can miss a problem, and a fix can break something else. Review's risk rating can be wrong too: a fix rated low risk can still break something, and passing tests do not prove a change is safe. With Auto-fix or merge rules on, such a fix can merge before anyone reviews it. With Auto-deploy also on, it can go live at any hour, and a deploy can break production while nobody is awake. Ingot does not roll back a change automatically; if the problem remains after a deploy, the ticket stays open and the alert goes to a person. Review the agents' work before you rely on it, and turn on Auto-fix, merge rules or Auto-deploy only where you accept these risks. The service helps your team; it does not replace your judgment.

8. Acceptable use

You must not, and must not let anyone else:

  • connect or test systems you have no right to;
  • use the service to attack, probe, scan or overload systems that are not yours;
  • try to get around the service's limits, roles, isolation or security, or reach another customer's data;
  • copy, take apart or rebuild the service, or use it to build a competing product;
  • resell or sublicense the service, except as section 3 allows for agencies;
  • break any law, including export control and sanctions laws, or use the service in a country or for a person under US sanctions.

9. Who owns what

Your content is yours. "Your content" means the code, data, logs and other material in the systems you connect, and what you put into the service. You keep every right in it. You let us use it only to run, secure and support the service for you.

Fixes belong to you. We give you every right we have in the code, tickets and reports the agents make for you. We do not promise that AI-written code is free of others' rights or can be protected as yours.

The service is ours. Ingot keeps every right in the service: its software, prompts, checks, design and know-how. Lessons the agents learn from your workspace stay in your workspace. Lessons we write for every customer hold none of your content.

We do not train AI models on your content. We may use counts of use, such as hours, runs and costs, to run, bill and improve the service. If you send us ideas or feedback, we may use them freely.

We will not name you as a customer or show your logo without your written consent.

10. Confidentiality

Each side may see the other's private information: your content and systems, our non-public prices and product plans. Each side will use the other's private information only for this agreement, protect it with reasonable care, and share it only with people and service providers who need it for this agreement and keep it private. This does not cover information that is public, that the receiver already had or got lawfully from someone else, or that it built on its own. A side may disclose information when the law requires it, and will warn the other side first where the law allows.

11. Data protection and security

Our privacy policy says how we handle personal data. For personal data in your systems and workspaces, you control the data and we process it on your behalf, following your instructions as set by your use of the service. We offer a data processing agreement, with the EU standard contractual clauses, on request at no charge.

We protect the service with the measures on our security page. If we confirm a breach of security that affects your data, we will tell you without undue delay and help you respond. Report security problems to security@ingot.run.

12. Other services

The service works with services from others, such as GitHub, Google Cloud, Slack, Jira, Stripe and model providers. Their own terms govern your use of them. We are not responsible for them, and a change on their side can change what Ingot can do.

13. Suspension and ending

We may suspend the service, in whole or for one workspace, if we reasonably believe that your use breaks section 8, puts the service, other customers or a third party at risk, or the law requires it. We will tell you, and say why, unless the risk or the law prevents it. We restore the service once the cause is fixed.

You may end this agreement by cancelling your plans and closing your account. We may end it on 30 days' notice, or at once if you seriously break these terms and do not fix it within 10 days of our notice. If we end it without cause, we refund the unused part of any period you paid for.

When a plan ends, the agents stop and we remove our access tokens. You may ask for an export of your workspace data within 30 days. After that we delete it, as our privacy policy describes. Sections 7, 9, 10 and 14 to 19 continue after the end.

14. No warranty

We provide the service with reasonable skill and care. Beyond that, and as far as the law allows, we provide it "as is" and "as available". We make no other promise, express or implied, including of merchantability, fitness for a particular purpose, non-infringement, or that the service will be free of errors, always available, or catch every problem. We offer no service-level commitment.

15. Limit of liability

As far as the law allows:

  • Neither side is liable for indirect, special, incidental or consequential damages, or for lost profits, revenue, data or goodwill, even if told they could happen.
  • Each side's total liability under this agreement is at most the fees you paid us in the 12 months before the event that caused the claim.
  • We are not liable for a change that you, your merge rules or Auto-fix merged, or that Ship deployed because you turned Auto-deploy on, or for harm caused by access you granted that went beyond what the service needed.

These limits do not apply to your duty to pay fees, to your duties under section 16, or to liability that the law does not allow to be limited.

16. Your indemnity

You will defend us against any third-party claim that arises from systems or data you connected without the right to do so, from your content, or from your breach of section 8. You will pay the damages and reasonable costs, including lawyers' fees, that result. We will tell you about the claim promptly, let you control the defence, and help at your cost. You may not settle a claim in a way that admits fault for us without our consent.

17. Changes to these terms

We may change these terms. For a material change, we email account owners at least 30 days before it takes effect. If you do not accept the change, cancel before then; your plan runs to the end of its paid period under the old terms. If you keep using the service after a change takes effect, the new terms apply. The date at the top shows the latest version.

18. Law and courts

The laws of the State of Wyoming, USA, govern these terms, without regard to rules that would apply another law. The state and federal courts in Laramie County, Wyoming, have sole jurisdiction over any dispute, and both sides agree to them. Each side waives any right to a jury trial. Either side may still seek an urgent court order anywhere to protect its confidential information or intellectual property.

19. General

These terms, any order and the documents they name are the whole agreement between us about the service. If a court finds part of them invalid, the rest stays in force. If we do not enforce a term, we do not give it up. You may not transfer this agreement without our consent; we may transfer it to a buyer of the business or of Ingot. Neither side is liable for delays caused by events beyond its reasonable control. We may send notices by email to an account owner. We may offer these terms in other languages as a courtesy. If a translation differs from the English text, the English text prevails. Send notices to us at contact@ingot.run; legal notices also by post to the address below.
